Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 5, 2024, Beam Therapeutics Inc. (the “Company”) held its 2024 annual meeting of stockholders (the “Annual Meeting”). The following are the voting results for the proposals considered and voted upon at the Annual Meeting, all of which were described in the Company’s Definitive Proxy Statement filed with the U.S. Securities and Exchange Commission on April 19, 2024 (the “Proxy Statement”).

 

Proposal 1 – The following nominee was elected as a Class I director to serve on the Company’s board of directors until the Company’s 2027 annual meeting of stockholders, and until his successor has been duly elected and qualified, based on the following votes:
